Each time you purchase Gift Vouchers through this site you will be required to click the "I Agree" button to complete the order. By clicking the "I Agree" button and/or by using this site to purchase Gift Vouchers you are accepting these terms and conditions. Any terms which you seek to impose in respect of your purchase of Gift Vouchers through this site will not form part of any contract between us. Please read these terms and conditions carefully before confirming your order for Gift Vouchers from our site. 3.1 By placing an order for Gift Vouchers through our site, you warrant that:
You are legally capable of entering into binding contracts;
You are at least 18 years old or are aged 16-18 and have read these terms of sale together with your parent and/or guardian who has explained these terms of sale to you so that you fully understand them; and
You are purchasing Gift Vouchers for private, non-commercial use only;
3.2 You should note that age limitations apply to the purchase of Products with Gift Vouchers. If you are intending to send Gift Vouchers to anyone who is under the age of 18, you must make them aware that they will not be able to order Products which are restricted to customers who are 18 or over.
You need to register with the site to order Gift Vouchers and you will be required to provide us with certain information including certain personal and payment/billing details so that we can process your order. Please see our registration page for further details.
You agree to provide us with truthful, complete and accurate details. You agree to provide us with your details only. You should keep any account details (including any password) safe and should not share or disclose them to anyone. Please notify us immediately if you suspect your account details have been compromised.
Please help us to ensure that the details you provide us with are kept up to date. You can access and update your information by visiting the your account area of the website and make the necessary updates or can contact us at firstname.lastname@example.org and we will help you however we can.
After placing an order via our site, you will receive an e-mail from us setting out the details of your order. Please note that this does not mean that your order has been accepted. You must check that the details on this e-mail are correct as soon as possible as your order represents an offer to us to buy the Gift Voucher. We recommend you print out and keep a copy of that e-mail.
All orders are subject to acceptance by us. Payment becomes due at the point you complete your order on the website and we will debit your credit or debit card on completion of your order. We accept your order at the point that we receive payment in full and we send the Gift Voucher in the form of a unique digital code by email to your named recipient. The contract for the purchase of any Gift Voucher will be between you and us and will only be formed when we have received payment in full for the Gift Voucher and sent the Gift Voucher in the form a unique digital code by email to the named recipient ("Contract"). Until we receive payment in full and send the Gift Voucher there is no contract between you and us for the Gift Voucher.
We reserve the right, in our sole discretion to reject any order we receive. If we reject your order we will refund your payment as soon as possible and in any event within 30 days of your cancellation and will not dispatch the Gift Voucher.
Please note that you can only order a Gift Voucher for one recipient per order.
6.1 Gift Vouchers may be purchased in the following denominations:
The purchase price is the value of the Gift Vouchers ordered and is inclusive of VAT. Delivery costs are not applicable to the delivery of the Gift Voucher.
Payment for all Gift Vouchers must be by credit or debit card or via Paypal. We accept the credit and debit cards displayed on the payment page of our Site from time to time. No other methods of payment will be accepted. We will charge your credit or debit card when you place your order.
By providing the details of a credit or debit card to be billed or payment account to be debited for payment of the price due, you confirm that you are authorised to purchase the Gift Vouchers and that you are the holder of the relevant credit or debit card or of the relevant payment account or are expressly authorised to use such.
All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not accept your order and we will not be liable for any delay or non-delivery and we are not obliged to inform you of the reason for the refusal. We are not responsible for your card issuer or bank charging you as a result of our processing of your credit/debit card payment in accordance with your order. Should there be a problem with your payment we will contact you to discuss the next steps.
You and/or we/UMO may terminate the licence to use the Download Manager on written notice. In addition we/UMO may terminate the licence immediately by written notice to you if you commit a breach of these terms.
Please note that Gift Vouchers will be sent by email to the named recipient once your order has been accepted and payment is received in full. If you wish to cancel your order please contact us within 7 days of the date you placed your order by emailing email@example.com stating your order number, the named recipient's details and the Gift Voucher to be cancelled but please note that if the Gift Voucher has been redeemed in full or in part then you will not be able to cancel your order.
If you do not notify us within 7 days of the date of placing your order or if the Gift Voucher has been partially or fully redeemed (as above) you will not be able to cancel your order.
If we receive your request to cancel within 7 days of the date of your order and the Gift Voucher has not been redeemed in part or in full then we will cancel your order and the sum debited to us from your credit, debit or Paypal account will be re-credited to your account as soon as possible and in any event within 30 days of your cancellation.
If the named recipient notifies you that the unique 19 digit code does not work, please ask them to contact Customer Services by email at firstname.lastname@example.org or by phone via telephone at 0845 070 2036 or via post at UMD Customer Services, Universal Music Direct Limited 364-366 Kensington High Street, London W14 9NS and we will be more than happy to assist them as set out in clause 19 below.
PLEASE READ THIS SECTION CAREFULLY AS IT SETS OUT THE LIMITATIONS OF OUR/UMO'S LIABILITY TO YOU
You agree that use of the site to purchase Gift Vouchers is at your sole risk.
If you or we are in breach of the Contract, neither of us will be responsible for ny losses that the other suffers as a result, except those losses which are a foreseeable consequence of the breach. Losses are foreseeable where they could be contemplated by you and us at the time your order is accepted by us.
Our liability for losses you suffer as a result of us breaking a Contract for Gift Vouchers is strictly limited to the purchase price of the relevant Gift Vouchers.
We are not responsible for losses which happen as a side effect of the main loss or damage and which are not foreseeable by you and us including but not limited to:
loss of income or revenue;
loss of business;
loss of profits or contracts;
loss of anticipated savings;
loss of opportunity or goodwill;
loss of, damage to or corruption of data;
indirect or consequential loss of any kind; however arising and whether caused by tort (including negligence), breach of contract or otherwise.
This clause 8 does not exclude or limit in any way our liability:
for death or personal injury caused by our negligence;
for fraud or fraudulent misrepresentation;
for any deliberate breaches of these terms by us that would entitle you to terminate the Contract between us; or
for any matter for which we cannot exclude, or limit our liability under applicable law.
Applicable laws require that some of the information or communications we send to you should be in writing. When using our site, you accept that communication with us will be mainly electronic. We will contact you by email or provide you with information by posting notices on our site. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing.Back to top
All notices given by you to us must be given to Universal Music Direct Limited at Universal Music Direct Limited 364-366 Kensington High Street, London W14 9NS or by email email@example.com. We will give notice to you at either the e-mail or postal address you provide to us as part of your order process or account registration. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to, and received by, the specified e-mail address of the addressee.Back to top
Neither you nor we may transfer, assign, charge or otherwise dispose of a Contract, or any rights or obligations arising under it, without the other's prior written consent. You agree however that we may sub-contract our obligations provided that we remain responsible to you for the performance of the Contract.Back to top
12.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control (Force Majeure Event).
A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport, impossibility of the use of public or private telecommunications networks and/or the acts, decrees, legislation, regulations or restrictions of any government.
Our performance under any Contract will be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance the same as the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.
If we fail, at any time during the term of a Contract, to insist upon strict performance of any of your obligations under the Contract or any of these terms and conditions, or if we fail to exercise any of the rights or remedies which we are entitled to under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.
A waiver by us of any default shall not constitute a waiver of any subsequent default.
No waiver by us of any of these terms and conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with clause 9 above.
If any of these terms or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term or provision will to that extent be removed from the remaining terms and provisions which will continue to be valid to the fullest extent permitted by law.
A person who is not a party to these terms of sale has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these terms but this section does not affect a right or remedy of a third party which exists or is available apart from that Act.
We intend to rely upon these terms and conditions of sale and any document expressly referred to in them in relation to the subject matter of any Contract. If you are uncertain about your rights or think there is a mistake or that the terms are not complete and accurate or do not reflect any conversation with our customer services representatives, please contact us before placing an order in order to discuss your query/concern as we only accept responsibility for statements made in writing. In that way, we can avoid any problems surrounding what we and you are expected to do in relation to the Contract.Back to top
We have the right to revise and amend these terms and conditions of sale from time to time including to reflect changes affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our site's capabilities.
You will be subject to the policies and terms and conditions of sale in force at the time that you order Gift Vouchers from us, unless any change to those policies or these terms is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), or if we give you reasonable notice of the change to those policies or these terms and conditions of sale before we send you the Dispatch Confirmation (in which case we have the right to assume that you have accepted the change to the terms and conditions, unless you notify us to the contrary within seven working days of receipt by you of our entering into the Contract.
These terms and conditions and contracts for the purchase of Gift Vouchers through our site and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by English law. How To Redeem Gift Vouchers Gift Vouchers have a unique 19 digit code and can be redeemed against any Products online at UK Universal Music sites only. Gift Vouchers issued in GBP sterling may be redeemed on purchases made in GBP sterling only. Gift Vouchers issued in Euro may be redeemed on purchases made in Euros only.
In order to redeem Gift Vouchers via any of our UK Universal Music sites you will need to register an account with the site using the email address to which the Gift Voucher in the form of the unique code was sent. The Gift Voucher will be verified by us using the unique voucher code and your email address so it is important when registering your details, that you register your email address to which the Gift Voucher was sent in order to be able to redeem the Gift Voucher. You agree to provide us with truthful, complete and accurate details. You agree to provide us with your details only. Terms and Restrictions Relating to the Redemption of Gift Vouchers Gift Vouchers cannot be used to purchase other Gift Vouchers.
Only one Gift Voucher can used per order of Product.
You cannot use a Gift Voucher as part payment for a Product. If the purchase price of a Product is greater than the value of the Gift Voucher you will have to use an alternative method of payment permitted by the Terms and Conditions of Sale applicable to the type of Product ordered (pleaser refer to Clause 18.12 below) e.g. credit or debit card or via paypal.
If the purchase price of the Product you order is less than the value of the Gift Voucher, the unredeemed balance of the Gift Voucher will be credited to your account which is created when you register on the site as described in clause 18.2 above ("Your Store Account"). You will be able to access Your Store Account and use the credit towards other orders but please note that this credit will expire one year from the date or issue of the Gift Voucher as described in Clause 18.11 below.
You cannot use a Gift Voucher in conjunction with any Promotional Codes, sales discounts or promotional offers.
The Gift Voucher and any unused balance credited to Your Store Account as described in clause 18.9 above will expire one year from the date of issue of the Gift Voucher unless otherwise specified in the email which contained the Gift Voucher. Gift Vouchers have no cash redemption value and cannot be transferred or assigned.

How To Redeem Gift Vouchers The terms and conditions of sale for the applicable type of Product shall apply in respect of the non-receipt of Product, incorrect/faulty/defective goods and your general right to return Product and if you are entitled to a refund under such terms and conditions then the refunds policy set out in the applicable terms and conditions of sale shall apply except that we will credit the refund to Your Store Account described above. You will not be entitled to a cash refund. Please refer to the terms and conditions applicable to the type of Product in clause 18.12 above for the relevant refunds policy.
